Terms of Service

Courtesy translation. The Turkish version is binding for Turkish customers.

1. Parties

This agreement is between Tedars ("Tedars") and the customer using the Tedars service ("Customer"). By accessing the service you accept these terms.

2. The Service

Tedars is a cloud (SaaS) product providing a fact-sheet-driven AI sales widget, product showcase, dashboard and related APIs.

3. Account & Security

• You are responsible for the confidentiality of your credentials and must report unauthorised use promptly.
• Accounts are protected by the security controls described in our KVKK Information Notice (hashed passwords, lockout, audit log).
• You must maintain at least one administrative email address on the account.

4. Acceptable Use

You must not:

• use the service for unlawful, harmful or deceptive purposes;
• attempt unauthorised access to other customers' data;
• place disproportionate load on the infrastructure (scraping, brute force, etc.);
• infringe third-party copyright or trademarks;
• serve end-users content that is misleading, fraudulent or in violation of KVKK;
• bypass security mechanisms.

5. Fees & Payment

Fees are agreed in a separate commercial agreement or order form. Unless stated otherwise, amounts are in Turkish Lira and exclusive of VAT. When a monthly token quota is exceeded, AI responses are temporarily paused; you may request a quota increase or plan upgrade.

6. Service Level

Tedars targets 99.5% annual availability. Scheduled maintenance is announced in advance and excluded from this metric. Higher SLAs are available through Enterprise contracts.

7. Data Ownership & Processing

All content you provide (fact-sheet, products, widget settings) remains yours. Tedars receives a limited, worldwide, non-transferable right to use it solely to deliver the service. Processing details appear in our KVKK Information Notice.

8. Intellectual Property

All rights in the Tedars software, brand, logo and technical documentation belong to Tedars. The source code, design and algorithms may not be copied, distributed or used to create derivative works.

9. Suspension & Termination

• Tedars may suspend or terminate the service with reasonable notice on breach, payment default or security risk.
• You may close your account at any time; data is retained in backups for the periods stated in our KVKK Information Notice.

10. Limitation of Liability

The service is provided "as is". Tedars' direct liability is capped at fees received from you in the 12 months preceding the event giving rise to liability. Tedars is not liable for indirect, incidental, special or punitive damages. Statutory liability is preserved.

11. Third-Party Services

Tedars uses third-party services including OpenRouter (AI), Resend (email) and Hetzner (hosting). Tedars is not responsible for interruptions in those services.

12. Force Majeure

Obligations are suspended for the duration of force majeure events (natural disaster, war, pandemic, internet outages, etc.).

13. Governing Law & Jurisdiction

This agreement is governed by Turkish law. Istanbul Çağlayan Courts have jurisdiction.

14. Changes

Tedars may update these terms. Material changes are announced via the dashboard or email at least 14 days in advance. Continued use after the effective date constitutes acceptance.
